1. Overview
ZINEK provides professional services in web development, automation and integration, branding, and digital strategy.
By visiting our website, booking a consultation, or entering a service agreement, you acknowledge that you have read and agree to these Terms of Service.
2. Scope of Work
All projects begin with a discovery and consultation phase to define goals, deliverables, and scope.
A formal proposal or contract will outline:
Services to be performed
Timeline and milestones
Pricing and payment terms
Revision and approval process
Work will not begin until the proposal is accepted and any required deposit is received.
3. Payments & Billing
A 30% deposit is required before any project begins.
The remaining balance is due upon completion unless otherwise agreed in writing.
Payments may be made online (via invoice) or by mailed check.
Late payments (10+ business days overdue) may incur a 5% late fee.
Ownership of final deliverables transfers only after full payment is received.
4. Revisions & Change Requests
Each project includes a defined number of revision rounds (typically 2–3).
Additional revisions or changes to the original scope may incur additional costs and will be discussed before proceeding.
All change requests must be submitted in writing (email or project management portal).
5. Client Responsibilities
To keep projects on schedule, clients agree to:
Provide necessary content, feedback, and approvals in a timely manner.
Ensure all information and materials shared are accurate and properly licensed.
Grant required access to existing systems, websites, or software when needed.
Delays in providing content or feedback may affect project timelines.
6. Intellectual Property
Upon full payment:
Clients own the rights to the final deliverables (website, branding materials, etc.).
ZINEK retains ownership of all preliminary designs, internal processes, and custom code not explicitly included in the final deliverables.
We reserve the right to display completed projects in our portfolio or marketing materials unless agreed otherwise in writing.
7. Confidentiality
We respect client confidentiality and safeguard all information shared with us during a project.
Client data, files, and credentials are stored securely and never shared with outside parties without written consent.
8. Third-Party Services
ZINEK may use third-party tools and platforms to complete or enhance services (e.g., Squarespace, Google Analytics, Asana, Setmore, Discord).
While we take care to choose reliable tools, we are not responsible for service outages, pricing changes, or functionality limitations caused by third-party providers.
9. Cancellations & Refunds
Either party may cancel a project with written notice.
Deposits are non-refundable once work has begun.
If the client cancels mid-project, all completed work up to that point will be invoiced and delivered as-is.
If ZINEK must cancel for any reason, we will provide a partial refund for work not completed.
10. Limitation of Liability
ZINEK is not liable for any indirect, incidental, or consequential damages arising from the use or inability to use our services.
We do not guarantee specific outcomes (such as traffic increases or revenue growth) unless explicitly stated in writing.
11. Ongoing Support
Post-launch support or maintenance is available through monthly retainers or per-request billing.
Support includes troubleshooting, updates, small edits, or minor system adjustments.
Larger changes or new feature development may require a separate proposal.
12. Termination
We reserve the right to terminate services if:
The client fails to pay invoices on time.
The client breaches these terms.
The working relationship becomes unproductive or abusive.
All completed and paid-for work will be transferred upon termination.
13. Governing Law
These terms are governed by the laws of the State of Washington.
Any disputes will be handled in state or federal courts within Washington State.
14. Updates to These Terms
ZINEK may update these Terms of Service periodically.
Any changes will take effect immediately upon posting to this page. The updated effective date will indicate the most recent revision.
